Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

TERMS OF SERVICE & LIABILITY WAIVER
Version 1.1 — Effective on date of signature

PLEASE READ CAREFULLY. BY TYPING YOUR NAME AND CLICKING "I AGREE & SIGN" YOU
ARE EXECUTING A LEGALLY BINDING ELECTRONIC SIGNATURE UNDER THE U.S. ELECTRONIC
SIGNATURES IN GLOBAL AND NATIONAL COMMERCE ACT (E-SIGN, 15 U.S.C. § 7001 ET SEQ.)
AND ANY APPLICABLE STATE EQUIVALENT (E.G., UETA).

1. PARTIES & ACCEPTANCE
This agreement ("Agreement") is between you ("User", "You") and Stratus Air LLC
("Stratus Air LLC", "we", "us"). By creating an account, paying the one-time
sign-up fee, or using any feature of the platform (the "Service"), you accept
and agree to be bound by this Agreement.

2. NATURE OF THE SERVICE — NOT LEGAL, TAX, OR FINANCIAL ADVICE
Stratus Air LLC is a software platform that provides general business-formation
information, AI-generated guidance, document organization, and educational
content. Stratus Air LLC IS NOT A LAW FIRM, TAX FIRM, ACCOUNTING FIRM, OR
LICENSED FINANCIAL ADVISOR. WE DO NOT PROVIDE LEGAL, TAX, ACCOUNTING, OR
INVESTMENT ADVICE. No attorney-client, accountant-client, or fiduciary
relationship is created by your use of the Service. AI outputs may be
inaccurate, incomplete, or out of date. You are solely responsible for
verifying any information with a licensed professional in your jurisdiction
before acting.

3. ONE-TIME SIGN-UP FEE
Access to the Portal requires a one-time, non-recurring fee of US $30.00,
charged at sign-up. The fee unlocks document folders, the AI advisor, and the
guided business-setup checklists. Payment is processed by our reseller, Paddle,
who acts as the Merchant of Record. Refunds are governed by Paddle's refund
policy and Stratus Air LLC's 14-day money-back policy.

4. ASSUMPTION OF RISK & LIABILITY WAIVER
You expressly assume all risk associated with decisions you make based on the
Service, including (without limitation) entity formation, registered-agent
selection, tax elections, license filings, banking applications, and contracts
you generate. To the maximum extent permitted by law, you WAIVE, RELEASE, AND
FOREVER DISCHARGE Stratus Air LLC, its owners, officers, employees,
contractors, affiliates, and agents from any and all claims, demands, losses,
liabilities, costs, damages, attorneys' fees, regulatory penalties, lost
profits, and consequential damages of every kind arising out of or relating to:
  (a) your use of, or inability to use, the Service;
  (b) any AI-generated output;
  (c) actions you take or fail to take based on the Service;
  (d) third-party services we link to or recommend;
  (e) errors, delays, downtime, or data loss; and
  (f) any business outcome whatsoever.

5. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY
KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR
NON-INFRINGEMENT.

6. LIMITATION OF LIABILITY
IN NO EVENT SHALL Stratus Air LLC'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER
OF (i) THE AMOUNT YOU HAVE PAID TO Stratus Air LLC IN THE PRIOR 12 MONTHS, OR
(ii) ONE HUNDRED U.S. DOLLARS (US $100). IN NO EVENT SHALL Stratus Air LLC BE
LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE
DAMAGES.

7. INDEMNIFICATION
You agree to indemnify, defend, and hold Stratus Air LLC harmless from any
claim, loss, or expense (including reasonable attorneys' fees) arising from
(a) your breach of this Agreement, (b) your misuse of the Service, (c) your
violation of any law or third-party right, or (d) any document, filing, or
business decision you make using the Service.

8. ACCEPTABLE USE
You will not use the Service for any unlawful purpose, to violate intellectual
property rights, to upload malware, to reverse engineer the Service, or to
generate content that violates applicable law (including fraud, deepfakes,
hate speech, or unauthorized practice of law).

9. USER CONTENT & DOCUMENTS
You retain ownership of files you upload to your folders. You grant
Stratus Air LLC a limited license to host, store, and process them solely to
provide the Service. You are responsible for ensuring you have the right to
upload any document.

10. PRIVACY & DATA
You acknowledge our Privacy Notice describing the categories of data we
collect, the purposes (account, service delivery, security, support), and our
data sharing with subprocessors (hosting, analytics) and with Paddle for
payment processing.

11. ACCOUNT TERMINATION
We may suspend or terminate your account for material breach, non-payment,
fraud, security risk, or repeated policy violations. The waivers, releases,
and limitations in this Agreement survive termination.

12. GOVERNING LAW & ARBITRATION
This Agreement is governed by the laws of the State of Delaware, USA, without
regard to conflict-of-law rules. Any dispute shall be resolved by binding
individual arbitration administered by JAMS in Delaware under its Streamlined
Rules. YOU AND Stratus Air LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO
PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

13. ELECTRONIC SIGNATURE CONSENT
You consent to transact electronically. Your typed name plus the click of the
"I Agree & Sign" button constitutes your electronic signature, has the same
legal force as a wet-ink signature, and confirms you have read, understood,
and agreed to this Agreement. A copy of your signature, the document version,
the date and time, your IP address, and your browser user-agent will be stored
as evidence of execution.

14. ENTIRE AGREEMENT
This Agreement, together with the Privacy Notice and any policies referenced
herein, constitutes the entire agreement between you and Stratus Air LLC
regarding the Service and supersedes any prior agreement.

By signing below, you confirm you are at least 18 years old, have authority to
bind any business you represent, and accept all terms above.
